Prepare a baking dish by lining it with parchment paper.
In a saucepan, combine sugar, butter, and milk over medium heat until melted and smooth.
Add cocoa powder and vanilla extract to the mixture, stirring until well combined.
Chop the walnuts coarsely and fold them into the chocolate mixture.
Remove the saucepan from heat and let the mixture cool slightly.
Place a wafer sheet in the prepared baking dish and spread a layer of the walnut-chocolate mixture over it.
Repeat layering with wafer sheets and the mixture until all ingredients are used, finishing with a layer of the mixture on top.
Melt chocolate in a microwave or double boiler and pour it over the top layer.
Spread the chocolate evenly and let it set at room temperature.
Once set, cut into squares or rectangles for serving.
